“Do I need a Cyprus resident director?” has a short legal answer and a longer real-world one, and the gap between them is where founders get into trouble. Legally: no — Cyprus does not require a director to live here for a company to be incorporated and to exist. Practically: a resident director is often how you make the company genuinely Cyprus-based for tax, banking and treaty purposes. So the question is not “is it required?” but “what does my company need to prove, and does a foreign-only board undercut it?” Here is the honest version.
What the law actually requires
Under the Companies Law, Cap. 113, a private company needs a short list of things, and a resident director is not on it:
- At least one director — an individual or a body corporate. The law sets no residency requirement for directors.
- A company secretary. For a company with a single director, that director generally cannot also be the sole secretary, except in a single-member company.
- A registered office in Cyprus.
- At least one shareholder.
That is the incorporation floor. You can form a Cyprus company with a director who has never set foot on the island. The reason resident directors are nonetheless everywhere is not company law — it is everything that happens after formation.
Where residency starts to matter: tax
Company tax residence in Cyprus turns on management and control — where the company is really run. A board that resides in Cyprus and takes its decisions here is the standard evidence that management and control sit on the island. From 2026 the reform added a default test: a company incorporated in Cyprus is treated as tax resident here unless a double tax treaty provides otherwise. That helps — but “resident by default” is not the same as “resident when challenged”. If another country argues the company is really run from its territory, the management-and-control facts are what decide it, and a purely foreign board is a weak hand. The corporate tax position you are counting on rests on substance being real.
Where it matters even more: banks and counterparties
Tax authorities are patient; banks are not. A Cyprus bank’s compliance team wants to see that the company is genuinely operated from Cyprus before it opens an account — management here, an address that is more than a mailbox, activity that matches the story. A company with no Cyprus presence and an offshore-only board is exactly the profile that gets slowed down or declined, which is a large part of why the bank account is the slow part. Serious counterparties and treaty partners ask similar questions for similar reasons.
Substance is a spectrum, not a checkbox
The mistake is treating “resident director” as a yes/no product. Economic substance runs along a scale, and you match it to what the company actually needs:
- A registered address at the low end — fine for a dormant or purely holding entity with no residence claim.
- A local director and real board meetings in Cyprus where you need defensible tax residence and a bank account.
- An office and staff on the ground where the business genuinely operates here, or where a work-permit and hiring story has to hold up.
A resident director bought as a nameplate, with no real decision-making behind it, is the worst of both worlds — you pay for substance and get none of its protection. Substance works when it is honest.
What this means for you
Decide what your company must prove before you decide who sits on the board. If it is a holding shell with no residence claim, a foreign director is fine. If you need Cyprus tax residence, a working bank account and treaty access, plan for management that visibly happens here — often you on the board plus genuine local decision-making, sometimes a resident director, sometimes an office.
